# Spektra End-User License Agreement > This document is not legal advice; review by legal counsel is pending. **Licensor** Squaresmile Media (Timothy Schulz), Germany. - Registered postal address: Düsseldorfer Straße 131, 51063 Köln, Germany - Support/contact e-mail: support@squaresmile.de - Legal notice (Impressum) and privacy policy: https://www.squaresmile.de/impressum and https://www.squaresmile.de/datenschutz This End-User License Agreement ("Agreement") is between Squaresmile Media ("Licensor") and the person or entity that installs or uses the Spektra application ("Licensee" or "you"). By installing or using the App, you agree to be bound by this Agreement. ## 1. Definitions - **"App"** means the Spektra desktop application as distributed by Licensor — the Tauri shell, the browser frontend it embeds, and the branding/assets bundled with it. The exact list of paths that make up the App is maintained in [LICENSE.md](LICENSE.md) under "The App — proprietary". The App is proprietary software licensed under this Agreement. - **"Engine"** means the bundled Python RF-scanning/DSP backend (the 24 files enumerated in [LICENSE.md](LICENSE.md) under "The Engine — GPL-3.0-or-later"), distributed as part of the same installer but licensed separately under GPL-3.0-or-later. The Engine is NOT licensed to you under this Agreement — see Section 4 (GPL Carve-Out). - **"Software"** means the App and the Engine together, as distributed in a single installer package. ## 2. License Grant Subject to your compliance with this Agreement, Licensor grants you a personal, non-exclusive, non-transferable, non-sublicensable license to install and use the App: - as a per-seat license for a single named user, installable on up to two devices that user owns or controls (organizations purchase one seat per engineer who uses the App); - on devices you own or control; - solely for the purpose for which the App is provided (RF spectrum scanning and related workflow support for live-sound engineers). No other rights are granted, whether by implication, estoppel, or otherwise. ## 3. Restrictions You may not: - redistribute, resell, rent, lease, sublicense, or otherwise make the App available to third parties, in whole or in part; - reverse engineer, decompile, or disassemble the App, except to the extent such restriction is expressly prohibited by applicable mandatory law notwithstanding this limitation (e.g., the interoperability exception under German copyright law, §69e UrhG, and equivalent provisions in your jurisdiction). Mandatory statutory exceptions — including §§ 69d and 69e UrhG and equivalent provisions in other jurisdictions — remain unaffected by this restriction; - remove, obscure, or alter any copyright, trademark, or other proprietary notice contained in or displayed by the App; - use the "Spektra" or "Squaresmile Media" names, logos, or trademarks to endorse, promote, or brand any derivative product or service without Licensor's prior written consent. These restrictions apply to the App only. Your rights with respect to the Engine are governed exclusively by the GPL-3.0-or-later (Section 6). ## 4. GPL Carve-Out (Engine) The Engine component of the Software is licensed under the **GNU General Public License, version 3 or later (GPL-3.0-or-later)**, not under this Agreement. Nothing in this Agreement limits, restricts, or is intended to limit or restrict, any right granted to you under the GPL-3.0-or-later with respect to the Engine, including your rights to run, study, modify, and redistribute the Engine's source code. See [LICENSE.md](LICENSE.md) for the exact list of Engine files and the full GPL-3.0-or-later text, and [THIRD-PARTY-NOTICES.md](THIRD-PARTY-NOTICES.md) for the written offer to provide the Engine's corresponding source. Where any term of this Agreement is read to conflict with the GPL-3.0-or-later as applied to the Engine, the GPL-3.0-or-later controls for the Engine. ## 5. No Warranty THE APP IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. Where the Licensee is a consumer, statutory warranty rights that cannot be excluded under applicable law — including the mandatory consumer-protection warranty regime under German law (§§ 434 ff. BGB) — remain unaffected by this section. ## 6. Limitation of Liability To the maximum extent permitted by applicable law, Licensor's total aggregate liability arising out of or relating to this Agreement shall not exceed the fees paid by the Licensee for the App in the twelve (12) months preceding the event giving rise to the claim. This limitation does not apply to liability for intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit), or for death, personal injury, or health damage caused by Licensor, to the extent such liability cannot be limited or excluded under applicable mandatory law. ## 7. Term and Termination This Agreement is effective from the date you first install or use the App and continues until terminated. Licensor may terminate this Agreement if you materially breach any term and fail to cure the breach within thirty (30) days of notice. You may terminate this Agreement at any time by uninstalling the App and destroying all copies in your possession. Sections that by their nature should survive termination (including Sections 4, 5, 6, and 9) survive. ## 8. Governing Law This Agreement is governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For merchants (Kaufleute), the exclusive venue is the Licensor's registered seat; mandatory consumer venue rules remain unaffected. This section governs the App only; it has no bearing on the GPL-3.0-or-later terms applicable to the Engine. ## 9. Entire Agreement This Agreement constitutes the entire agreement between you and Licensor regarding the App, and supersedes all prior or contemporaneous understandings regarding the App, EXCEPT that this Agreement does not supersede, limit, or replace the GPL-3.0-or-later terms applicable to the Engine (see Section 4), which remain in full force and effect independently of this Agreement. --- Version 1.1 — 2026-09-17.
